These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sami Kuloglu d/b/a EasyList ("EasyList," "Company," "we," "us," or "our"), an individual doing business in the State of New Jersey, governing your access to and use of the EasyList mobile application, website, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.
EasyList is a mobile application designed to help users create product listings for eBay by scanning product barcodes. The Service includes, but is not limited to:

The Service is available to users of all ages. However, if you are under the age of 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Parents or legal guardians are responsible for supervising their minor's use of the Service and are fully responsible for all activities conducted under the minor's account.

The Service offers various subscription tiers with different features and usage limits. Current pricing and plan details are available within the app. We reserve the right to modify pricing, features, or subscription tiers at any time, with reasonable notice to existing subscribers.
We may offer a free tier with limited functionality. Free tier usage is tracked per linked eBay account to prevent abuse. We reserve the right to modify, limit, or discontinue the free tier at any time without notice.
Subscriptions are billed through Apple's In-App Purchase system or other payment processors as applicable. By subscribing, you agree to the payment terms presented at the time of purchase. All payments are processed by third-party payment providers, and your use of such services is subject to their respective terms and conditions.
Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You may manage your subscription and turn off auto-renewal in your Apple ID account settings or the applicable payment provider's settings.
Refund requests are handled on a case-by-case basis at our sole discretion. For subscriptions purchased through Apple's App Store, refund requests must be submitted directly to Apple in accordance with their refund policies. We are not responsible for refunds processed (or denied) by third-party payment providers.
We reserve the right to change subscription prices at any time. Price changes will not affect current subscription periods but may apply upon renewal. We will provide reasonable notice of any price increases.
The Service integrates with eBay's API to facilitate listing creation and publication. Your use of eBay through our Service is subject to eBay's User Agreement and policies. We are not affiliated with, endorsed by, or sponsored by eBay Inc. You are solely responsible for ensuring your listings comply with eBay's policies, including but not limited to policies regarding prohibited items, listing practices, and intellectual property.
The Service retrieves product information from various third-party data sources. We do not own, control, or guarantee the accuracy, completeness, or availability of this data. Product information including titles, descriptions, images, specifications, and pricing may be inaccurate, outdated, or incomplete.
Payment processing services are provided by third parties, including but not limited to Apple (for In-App Purchases) and Stripe. Your use of these services is subject to their respective terms and privacy policies.
References to third-party products, services, or websites do not constitute endorsement. We are not responsible for the content, accuracy, or practices of any third-party services.

WE DO NOT GUARANTEE THE ACCURACY OF CONTENT GENERATED BY ARTIFICIAL INTELLIGENCE OR AUTOMATED SYSTEMS. AI-GENERATED DESCRIPTIONS, TITLES, AND OTHER CONTENT ARE SUGGESTIONS ONLY AND MUST BE REVIEWED AND EDITED BY YOU BEFORE PUBLICATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
You agree to indemnify, defend, and hold harmless Sami Kuloglu d/b/a EasyList, and any officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
You may terminate your account at any time by using the account deletion feature within the app or by contacting us. Upon termination, your right to use the Service will immediately cease.

Terminating your account does not automatically cancel your subscription. You must separately cancel any active subscriptions through your Apple ID account settings or the applicable payment provider to stop future billing.
Before filing any formal legal action, you agree to first contact us and attempt to resolve any dispute informally for at least thirty (30) days. Most disputes can be resolved this way.
If we cannot resolve a dispute informally, you and Sami Kuloglu d/b/a EasyList agree to resolve any claims through final and binding arbitration, except as set forth below. The American Arbitration Association (AAA) will administer the arbitration under its Consumer Arbitration Rules. Arbitration will be conducted in New Jersey or another mutually agreed location. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

YOU AND SAMI KULOGLU D/B/A EASYLIST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
You may opt out of the arbitration and class action waiver provisions by sending written notice within thirty (30) days of first accepting these Terms to: kuloglusami01@gmail.com with the subject line "Arbitration Opt-Out."
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of such courts.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms and, where appropriate, provide additional notice (such as in-app notification or email). Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sami Kuloglu d/b/a EasyList regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
These Terms do not create any third-party beneficiary rights except as expressly provided.
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
The section headings in these Terms are for convenience only and have no legal or contractual effect.
By using the Service, you consent to receiving electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
